Commercial conditions for SysRoot services.

These Terms of Sale apply to quotes, orders, subscriptions, and service engagements with SysRoot, unless a separate written agreement, order form, or statement of work applies.
1. Services
SysRoot provides managed IT, DevOps, infrastructure operations, database administration, monitoring, backup, disaster recovery, and security-related services. The exact scope is defined in the relevant proposal, order form, or statement of work.
2. Quotes and Orders
Prices shown on the website are examples or estimates unless expressly marked as final. A binding order is formed only when SysRoot confirms the order in writing or both parties sign the relevant agreement.
3. Prices, Taxes, and Currency
Unless stated otherwise, prices are in EUR and exclude VAT or other applicable taxes. Taxes, payment fees, and third-party costs may be added where applicable.
4. Payment
Payment terms, invoicing frequency, and accepted payment methods are specified in the proposal, order form, or invoice. Late payments may result in suspension of services after reasonable notice, where permitted by law and contract.
5. Contracting Process
Before confirming an online order, customers should be able to review service details, correct input errors, and accept the applicable terms. SysRoot will confirm accepted orders by email or another durable electronic method.
6. Delivery and Service Start
Service start dates depend on onboarding, access provisioning, technical discovery, and any prerequisites listed in the agreed scope. Estimated timelines are not guaranteed unless expressly agreed in writing.
7. Cancellation and Termination
Cancellation, renewal, and termination terms are defined in the applicable agreement or order form. For recurring subscriptions, the agreement should state the minimum term, renewal period, and notice requirements.
8. Consumer Withdrawal Rights
SysRoot primarily provides business-to-business services. If a customer qualifies as a consumer under applicable law, statutory withdrawal rights and exceptions will be provided before purchase where required.
